The Financial Conduct Authority protects consumers by ensuring that direct financial promotions of ‘non-readily realisable securities’ are only made to certain types of investors. Non-readily realisable securities refer to investments which are not listed on a stock or similar exchange and for which there is no, or a limited, secondary trading market. The Bonds issued by Allia Social Impact Investments Ltd may therefore be considered a non-readily realisable security.

In registering to access the offer document for the St John’s School Bond you are confirming that you accept the following statements:

– You have knowledge and experience (by virtue of educational/professional qualifications or otherwise) of investments of a similar risk profile to the Bonds

– You have made occasional purchases of investments of a similar risk profile to the Bonds in the last five years

– The Bonds are not listed on any investment or stock exchange. This means that there is a risk that you may have to wait before you are repaid or you may not be repaid

– There is no guarantee of interest on the Bonds

– As the Bonds are not covered by a Financial Compensation Scheme, repayment of them is not guaranteed

– The value of your capital may remain the same or may decrease

Restricted Investor statement

I qualify as a restricted investor because:

(a)    in the twelve  months preceding the date below, I have not invested more than 10% of my net assets in non-readily realisable securities; and

(b)   I undertake that in the twelve months following the date below, I will not invest more than 10% of my net assets in non-readily realisable securities.

Net assets for these purposes do not include:

(a)    The property which is my primary residence or any money raised through a loan secured on that property.

(b)   Any rights of mine under a qualifying contract of insurance (e.g. an endowment or life insurance policy).

(c)    Any benefits (in the form of pensions or otherwise) which are payable on the termination of my employment or on my death or retirement and to which I am (or my dependants are), or may be entitled.

(d)   Any withdrawals from my pension savings (except where the withdrawals are used directly for income in retirement).

High Net Worth Investor Statement

I qualify as a high net worth investor because at least one of the following applies to me:

– I had, throughout the financial year immediately preceding the date below, an annual income to the value of £100,000 or more. Annual income for these purposes does not include money withdrawn from my pension savings (except where the withdrawals are used directly for income in retirement).

– I held, throughout the financial year immediately preceding the date below, net assets to the value of £250,000 or more. Net assets for these purposes do not include:

(a) the property which is my primary residence or any money raised through a loan secured on that property; or

(b) any rights of mine under a qualifying contract of insurance; or

(c) any benefits (in the form of pensions or otherwise) which are payable on the termination of my service or on my death or retirement and to which I am (or my dependants are), or may be, entitled; or

(b) I have made more than one investment in an unlisted company in the two years prior to the date below;

(c) I am working, or have worked in the two years prior to the date below, in a professional capacity in the private equity sector, or in the provision of finance for small and medium enterprises;

(d) I am currently, or have been in the two years prior to the date below, a director of a company with an annual turnover of at least £1 million.
